The Corporate Transparency Act & Its Impact on Your Business. EFFECTIVE JANUARY 1, 2024

Were you aware that the Corporate Transparency Act (CTA) was enacted into law in 2021 and is scheduled to be implemented on January 1, 2024?


The CTA will mandate that only specific businesses with less than 20 employees disclose the information of their beneficial owners to The Department of Treasury Financial Crimes Enforcement Network (FinCEN). Noncompliance with the regulations outlined in the act, whether intentional or not, may lead to severe consequences such as fines of $500/day up to $10,000 and imprisonment of up to two years.


Businesses should remain informed about the latest requirements and stay abreast of FinCEN's regulations to gain an in-depth understanding of their reporting duties.


Who Needs To File?

  • Domestic reporting companies, including LLPs, corporations, and any other entities created through the filing of documents with a state's secretary or similar office under state or Indian tribe law.

  • Foreign reporting companies, including LLCs, corporations, and any other business registered in a foreign country and authorized to conduct business in state or tribal jurisdictions. Notably, sole proprietorships that do not make use of a single-member LLC are not classified as reporting companies.

Vital Information to Remember:

  • Businesses that were registered or established prior to January 1, 2024, will have one year, until January 1, 2025, to submit their first report.

  • Companies that have registered or established themselves after January 1st, 2024 will be required to file their first reports within 30 days upon receiving notification of their registration or establishment.

  • Companies responsible for reporting are granted 30 days to disclose any adjustments to their previously submitted reports. In the event of inaccurate information in their initial report, they must rectify it within 30 days of becoming aware of the errors.

  • Small businesses with fewer than 20 employees are obligated to report. "Reporting Companies" as defined by the CTA. are corporations, LLCs, or similar entities that are created by filing documentation with a state or Indian tribe, as well as foreign companies registered to operate within the US.
